Nordax Digital Client Portal Access Terms

These terms govern complimentary client access supplied by Northern Axis, LLC doing business as Nordax Digital ("Nordax") through portions of Nordax OS. They do not replace the proposal, contract, invoice, or other agreement governing the agency services purchased by a client.
Courtesy Access
Nordax may provide a client with access to view project activity, files, deliverables, messages, invoices, receipts, proposals, contracts, reports, or other records associated with Nordax Digital services. Client portal access is a convenience and is not itself a paid deliverable, subscription, service-level commitment, or guaranteed part of any paid service unless a signed agreement expressly says otherwise.
Access and Revocation
Nordax may limit, suspend, replace, or revoke courtesy portal access at any time, with or without notice, for any lawful reason or without stating a reason. Revoking access does not alter an underlying service agreement, erase amounts due, or remove a client's ability to request available financial records. Requests for invoices, receipts, statements, and payment records may be sent to [email protected].
Accounts and Security
Access is personal to the invited user. Users must provide accurate information, protect credentials, use only their own account, and promptly report suspected unauthorized access. A client is responsible for the people it asks Nordax to invite and for keeping its contact information current.
Records and Communications
Portal information may include drafts, estimates, work in progress, automated status information, or third-party data. A signed proposal, order, contract, invoice, or other specific written agreement controls over a conflicting portal display. The portal is not the exclusive channel for legal notices, emergency communications, or records retention.
Acceptable Use
Users may not probe, scrape, copy in bulk, interfere with, reverse engineer, bypass access controls, access another client's information, upload malicious material, misuse communications, or use the portal unlawfully. Nordax may investigate and restrict activity needed to protect clients, systems, providers, or legal rights.
Ownership
The client retains rights in material it supplied and in final deliverables only to the extent stated in the applicable signed service agreement. Nordax retains its platform, software, methods, templates, tools, documentation, designs, working files, unused concepts, know-how, and material not expressly transferred in a signed writing.
Availability and Disclaimer
Courtesy access is provided "as is" and "as available." Nordax does not guarantee uninterrupted operation, permanent availability, or that every historical record will remain self-service accessible. To the maximum extent permitted by law, Nordax disclaims implied warranties associated solely with courtesy portal access.
Privacy and Electronic Agreement
Client access is subject to the Nordax Digital Privacy Policy and reasonable security controls. When the portal presents these terms for acceptance, the user must scroll through the exact agreement and affirmatively check the electronic-signature box. Nordax records the user, client, role, version, content hash, acceptance time, IP address, and user agent as evidence. Material revisions may require a new acceptance.
